Provider. SendWise is provided by NetConsult FZCO, Building: Techno Hub 1, IFZA Properties, Unit D-08, Floor L2, Dubai, United Arab Emirates (“NetConsult”, “we”, “us”).
Effective date: 31 July 2026.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use SendWise. If you use SendWise on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Account responsibility
You are responsible for maintaining the confidentiality of your account credentials, for all activity that occurs under your account, and for the sender accounts you connect. You must notify us promptly of any unauthorized use of your account.
3. Authorized sender accounts
You may only connect sender accounts (Gmail, Microsoft, or SMTP) that you own or are expressly authorized to use. You are responsible for complying with the terms of each sender provider you connect, including any sending, content, and rate policies imposed by that provider.
4. Permission-based sending and recipient lists
SendWise is designed for permission-based email only. You may only send email to recipients who have given clear, affirmative consent to receive messages from you, or where sending is otherwise lawful in the relevant jurisdiction (for example, an existing customer relationship with appropriate notice and opt-out rights).
The following are strictly prohibited: purchased, rented, scraped, harvested, or otherwise non-consented lists; addresses obtained from public directories, websites, or social profiles without explicit opt-in; and any list where you cannot demonstrate permission.
You must not re-import, re-add, or otherwise contact recipients who have unsubscribed, opted out, bounced permanently, or complained, except where a new, valid consent record exists and applicable law permits re-contact.
5. Consent records and proof retention
You are responsible for maintaining accurate records of how and when each recipient opted in, including the source, date, and scope of consent. SendWise may request proof of consent during an investigation or before restoring sending privileges. Failure to provide satisfactory evidence may result in suspension or termination.
6. Accurate sender identity
You must use accurate, non-misleading sender names, from addresses, reply-to addresses, and physical or postal addresses where required by law or by the sender provider’s policy. You must not impersonate another person or organization, or disguise the origin of your messages.
7. Unsubscribe obligations
You must honour unsubscribe and opt-out requests promptly and provide a clear unsubscribe mechanism in commercial messages where required by law or by the sender provider’s policy. Unsubscribe requests must be processed without undue delay and must not require login, payment, or unrelated steps.
8. Complaint and bounce handling
You must monitor and act on complaint and bounce signals for the senders you operate. SendWise may pause, throttle, or suspend sending for accounts with elevated complaint or bounce rates to protect deliverability for all users.
9. Compliance with sender and anti-spam laws
You are solely responsible for compliance with all applicable laws and regulations governing email and electronic communications in every jurisdiction where you send, including but not limited to CAN-SPAM, CASL, GDPR, ePrivacy, and local UAE requirements where applicable. This includes obtaining consent, providing identification, honouring opt-outs, and maintaining required records. SendWise does not provide legal advice.
10. Service limits
Package limits — including active contacts, monthly emails, sender accounts, per-sender daily caps, and team seats — are published on the Pricing page and enforced by the platform. Attempts to bypass limits may result in suspension.
11. Acceptable Use and Anti-Spam policies
Your use of SendWise is subject to the Acceptable Use Policy and Anti-Spam & Email Sending Policy, which are incorporated into these Terms by reference. Violations may result in warnings, throttling, suspension, or termination.
12. Billing, renewal, and cancellation
Paid packages are billed in advance on a recurring basis according to the package you select. Fees are exclusive of taxes unless stated otherwise. You may cancel at any time; your account continues until the end of the current billing period, after which it will not renew. Except where required by applicable law, fees are non-refundable. Failure to pay may result in suspension or termination.
13. Your data
You retain all rights to your contacts, message content, sender credentials, and analytics data. You grant NetConsult a limited licence to host, process, transmit, and display that data solely as necessary to provide the Service. Our handling of personal data is described in the Privacy Policy.
14. Third-party sender providers
Messages you send are transmitted via the third-party sender providers you connect (for example Google, Microsoft, or your SMTP host). Their terms, policies, and any service limits apply, and SendWise is not responsible for their availability or decisions.
15. Intellectual property
SendWise, the SendWise name and logo, and all software, documentation, and materials that form part of the Service are owned by NetConsult or its licensors and are protected by intellectual-property laws. Except for the rights expressly granted to you in these Terms, no other rights are granted.
16. Prohibited conduct
You must not: (a) reverse engineer, decompile, or attempt to extract source code of the Service; (b) interfere with, disrupt, or attempt to gain unauthorized access to the Service or related systems; (c) use the Service to send unlawful, deceptive, abusive, or infringing content; (d) use the Service to send malware or phishing; (e) use the Service for cold outreach, unsolicited prospecting, or mass email to non-consenting recipients; or (f) resell or provide the Service to third parties except as expressly permitted.
17. Suspension and termination
NetConsult may suspend or terminate your account or access to the Service immediately if you breach these Terms, the Acceptable Use Policy, the Anti-Spam & Email Sending Policy, or applicable law, or where required to protect the security, integrity, or availability of the Service or connected sender providers. We may suspend sending while investigating suspected abuse. You may terminate your account at any time by cancelling in-app or by contacting us.
18. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.
19. Limitation of liability
To the maximum extent permitted by applicable law, in no event will NetConsult, its affiliates, or their respective directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business, arising out of or in connection with your use of the Service, whether based on contract, tort (including negligence), strict liability, or any other legal theory, and whether or not NetConsult has been advised of the possibility of such damages. To the maximum extent permitted by applicable law, NetConsult’s total aggregate liability arising out of or relating to the Service or these Terms is limited to the maximum extent permitted by applicable law.
20. Indemnity
You agree to defend, indemnify, and hold harmless NetConsult and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, your recipient lists, your failure to obtain or maintain consent, or your breach of these Terms or applicable law.
21. Changes to the Service and Terms
We may modify the Service and these Terms from time to time. Material changes will be notified through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
22. Governing law and jurisdiction
These Terms are governed by the laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai. The courts of Dubai shall have exclusive jurisdiction over disputes arising from or relating to these Terms.
23. Miscellaneous
These Terms, together with the Privacy Policy, Acceptable Use Policy, and Anti-Spam & Email Sending Policy, constitute the entire agreement between you and NetConsult regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; NetConsult may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
